1.     Representation: You agree that lgk Media Staffing Network will have the right of representation for the purpose of finding employment and/or assignments with appropriate clients of lgk Media Staffing Network. You agree not to be represented for employment and/or assignments with any client for whom you have been referred by lgk Media Staffing Network, by any other organization or by yourself during the term of this agreement. lgk Media Staffing Network will be made aware of all negotiations considering assignments, employment and compensation. You will not participate in these negotiations directly with the prospective client without lgk Media Staffing Network’s involvement.  All assignments, employment and compensation, however, will be subject to your acceptance. lgk Media Staffing Network will not agree upon any assignment and/or employment for you without your prior agreement of compensation and terms; no resume will be submitted to any client without your approval.

2.     Confidentiality: You agree to keep confidential any proprietary information learned or developed by you in the course of, or incidental to, your interview and/or employment with each client OR any information learned directly from lgk Media Staffing Network.  Proprietary information of the client or lgk Media Staffing Network is defined as: the job openings; customer names or contact persons; client preferences or patterns; compensation; and any other information of a client or lgk Media Staffing Network t hat is not generally known to the public.  This definition includes any information concerning any job profile which lgk Media Staffing Network shares with you.  You further agree not to disclose to others the existence of any job opportunities disclosed to or discovered by you through association with lgk Media Staffing Network.

3.     Unauthorized work: You agree that if you accept employment, or any employment related project including temporary assignments, contract work, or related projects outside the scope of this agreement with any client to whom you have been knowingly referred by lgk Media Staffing Network within the period of one (1) year following your meeting of the client, you agree that you will be liable to lgk Media Staffing Network for a commission equal to thirty-five percent (35%) of the gross amount earned.  It is further understood that lgk Media Staffing Network may take whatever other steps are necessary to protect its interests, including but not limited to obtaining injunctive relief against you.  You further agree that you will pay the reasonable attorneys’ fees and costs expended by lgk Media Staffing Network to enforce this agreement and protect its interests.


4.     Term: This agreement will be in effect on this date and will remain in effect until canceled by either lgk Media Staffing Network or you, or if terminated by provisions of this agreement.  You further agree that in the event that this agreement is terminated the confidentiality and unauthorized work restrictions set forth in this agreement will survive the termination of this agreement for a period of one year from the date of termination.  This agreement may be modified or amended only by written agreement between you and lgk Media Staffing Network.  It may not be amended, modified, changed or added to in any manner by verbal statements, acts or conduct. Should you choose to cancel your agreement with lgk Media Staffing Network, you must do so in writing.

5.     Governing Law: This agreement is expressly made subject to the applicable laws, rules, regulations and decisions of the United States of America and the State of Illinois without regard to the law of conflicts.  If any portion of this agreement shall for any reason be held invalid, illegal or unenforceable in any respect, the remainder of this agreement shall remain in full force and effect.
